BUSINESS FINANCE AUTHORITY  NOTICE AND AGENDA

The regular meeting of the Board of Directors is scheduled for  Monday, October 20, 2025, at 2:00 PM, 135 N. State St, Concord, New Hampshire.

  1. Introduction of Board Members.
  2. Approval of Board of Director Nonpublic and Public Minutes for the Meeting of August 18, 2025.
  3. Nonpublic Session for Consideration of Loan and Credits, as applicable.
  4. Approval of Items and Associated Resolutions from nonpublic session, as applicable.
  5. To consider approving a Resolution authorizing the assignment of loan agreements & various bonds from Capsugel Holdings, US to its indirect parent Lonza USA, Inc., and related actions.
  6. Financial Reports– Chris Kreidermacher   – Month End August and September 2025
  7. Lending Reports August and September – Jeremy Stanizzi  CAP Monthly, CAP Statistics/Demographics, Capacity Report
  8. Executive Director’s Report.
  9. Other Business.

BFA BOARD OF DIRECTORS MINUTES – October 20, 2025

The meeting of the Board of Directors of the Business Finance Authority (“BFA”) was called to order at 2:02 P.M. at 135 N. State Street, Concord, New Hampshire.

The following Directors were present:

Dick Anagnost, Matthew Benson, Stephen Duprey, Catherine Provencher, Daniel Henderson,Monica Mezzapelle, Todd Horner. Also present were: James Key-Wallace, Executive Director and Clerk; Jeremy Stanizzi, Senior Credit Officer; Chris Kreidermacher, Chief Financial Officer; Jeff Cook, Credit Analyst, Deborah Intonti, Executive Assistant, John Stoecker National Finance Authority, Senator Daniel Innis, Representative Gary Daniels, Representative Brian Cole, Kris Moussette, Hinckley Allen.

The following members were absent: Director Vikram Mansharamani.

 Chairman Anagnost announced the meeting was open to the public and welcomed all present.

The Chairman asked for approval of the public minutes for the August 18, 2025, Board Meeting.

Upon motion made by Director Duprey and seconded by Director Provencher the following action was voted on:

VOTED: To accept the public minutes of August 18, 2025, Board Meeting.

The following named Directors voted:

Aye: Dick Anagnost, Stephen Duprey, Matt Benson, Catherine Provencher, Daniel Henderson, Todd Horner.

Nay:  None

Abstain: Monica Mezzapelle

Whereupon the Chairman declared said motion accepted.

NONPUBLIC SESSION

 At 2:03PM the Board entered into a Nonpublic Session under RSA 162-A:7-10 and RSA 162-A:13 (h) Consideration of applications by the Business Finance Authority, where consideration of confidential, commercial, or financial information that is exempt from public disclosure; and matters which if discussed in public, would likely affect adversely the reputation of any person, other than a member of the public body itself.

Upon motion to go into a nonpublic session made by Director Provencher and seconded by Director Mezzapelle, the following roll call vote was taken to enter:

Nay: None

Abstain: Todd Horner

Chairman Anagnost asked for a motion to return to public session and seal the nonpublic minutes. A motion was made by Director Henderson and seconded by Director Provencher.

The following named Directors voted:

Aye: Dick Anagnost, Stephen Duprey, Matt Benson, Monica Mezzapelle Catherine Provencher, Todd Horner, Daniel Henderson.

Nay:  None

Abstain: None

PUBLIC SESSION RESUMED AT 2:20 p.m.

Cube Man, LLC

The Chairman asked the Board to enter a motion to approve the loan request of an SSBCI funding loan request for Cube Man, LLC or nominee in the amount of $2,189,250 (under the Collateral Shortfall Program).

Upon motion made by Director Provencher and seconded by Director Mezzapelle, the following action was voted on:

VOTED:  To approve the loan request of an SSBCI funding loan request for Cube Man, LLC or nominee in the amount of $2,189,250 (under the Collateral Shortfall Program).

The following named Directors voted:

Aye: Dick Anagnost, Stephen Duprey, Matt Benson, Monica Mezzapelle Catherine Provencher, Todd Horner, Daniel Henderson.

Nay:  None

Abstain: None.

The Chairman asked the Board to consider approving a Resolution authorizing the assignment of the loan agreements and various bonds from Capsugel Holdings, US to its indirect parent Lonza, USA, Inc., and related actions.

James Key-Wallace explained the loan to the board. The Chairman asked the Board to enter a motion to approve the Resolution authorizing the assignment of the loan agreements and various bonds from Capsugel Holdings, US to its indirect parent Lonza, USA, Inc., and related actions.

Upon motion made by Director Mezzapelle and seconded by Director Henderson, the following action was voted on:

VOTED: To approve the Resolution authorizing the assignment of the loan agreements and various bonds from Capsugel Holdings, US to its indirect parent Lonza, USA, Inc., and related actions.

The following named Directors voted:

Aye: Dick Anagnost, Stephen Duprey, Matt Benson, Monica Mezzapelle Catherine Provencher, Todd Horner, Daniel Henderson.

Nay:  None

Abstain: None.

The Chairman asked Mr. Kreidermacher to review the month-end Financial Reports.

The Chairman asked Mr. Stanizzi to review the Lending Reports.

The Chairman asked Mr. Key-Wallace to present the Executive Director’s Report.

There being no further business and upon motion made by Director Provencher and seconded by Director Mezzapelle, the meeting was adjourned at 2:56 PM.
